These Terms of Service ("Terms") govern your access to and use of the TubeScope software-as-a-service platform, desktop interfaces, APIs, documentation, and integrated Telegram Web App (TWA) features (collectively, the "Service"), provided by [INSERT LEGAL COMPANY NAME] ("Company", "we", "us", or "our").
1. Eligibility, Age Floors, and Third-Party Platforms
1.1 Jurisdictional Age Requirements: You must be at least 18 years of age to establish an account or interact with this Service. If the legal age for data consent within your jurisdiction of residence is higher (e.g., 16 years of age under the EU GDPR), you must meet or exceed that regional statutory threshold to use the Service. We do not knowingly collect data from or permit platform access to minors.
1.2 Telegram Terms Incorporation: The Service operates partially as a Telegram Web App (TWA). You acknowledge and agree that your account status and interaction within the Telegram ecosystem are governed independently by the Telegram Terms of Service. The Company is completely insulated from, and bears no responsibility for, account actions, service drops, or moderation steps executed by Telegram.
1.3 YouTube Terms of Service Compliance: TubeScope aggregates public metrics via external application interfaces. By executing any query within this Service, you warrant that you are concurrently bound by, and will maintain full compliance with, the official YouTube Terms of Service.
2. Artificial Intelligence Engine Disclaimers
2.1 Non-Deterministic Analysis: TubeScope relies on advanced algorithms and third-party large language models (LLMs), including OpenAI, to generate content reports, transcript summaries, and strategic competitive positioning recommendations. Artificial intelligence outputs are inherently non-deterministic and probabilistic. The Company does not guarantee the absolute uniformity, accuracy, or formatting completeness of AI-generated dashboards.
2.2 Disclaimer of Financial and Business Advice: All metrics, including "Opportunity Scores", "Monopoly Indexes", and "Content DNA Reports", are compiled solely for informational and operational software reference. Under no circumstances do these analytical outputs constitute financial, investment, legal, or professional business advice. You retain sole liability for conducting independent verifications before committing capital or channel resources to any market niche.
2.3 Model Training Safeguards: The Company guarantees that specific text strings, target channel URLs, and private operational metrics passed to our third-party LLM processing partners via secure enterprise API tokens are handled under strict corporate data rules. They are not harvested or used by third parties to train generic public machine learning models.
3. Subscriptions, Automatic Renewals, and Financial Terms
3.1 Payment Processing Framework: Payment tokenization, card validations, and subscription invoicing are managed securely by our third-party payment aggregator, Airwallex. You explicitly authorize Airwallex to store your payment information securely and execute recurring automated transaction tokens.
3.2 Explicit Automatic Renewal Consent: By activating a Pro or Business subscription tier and clicking "Subscribe" (or your local interface equivalent), you provide explicit consent to immediate service activation and agree to be charged the designated tier fee (plus applicable regional statutory levies, such as EU VAT or local sales taxes) automatically on a recurring monthly or annual basis. Recurring charges will be billed to your designated payment method under the statement descriptor TUBESCOPE until you explicitly cancel the cycle.
3.3 Subscription Pause and Resume Modalities: Pro and Business tier accounts may request a temporary billing pause via their billing panel. Access will persist until the end of the current billing interval, after which recurring automatic token collections will freeze for up to sixty (60) calendar days. Following the conclusion of the designated pause period, regular billing cycles and transaction tokens will automatically resume unless an explicit cancellation is filed.
3.4 Mandatory Price Modification Notice: The Company reserves the right to modify subscription fees. We will provide you with a mandatory notice period of at least thirty (30) calendar days via your registered email address before applying any recurring cost adjustments, allowing you ample window to cancel before charges take effect.
3.5 Structural Policy Changes: We reserve the right to amend these Terms. For any material alterations that impact your data handling, tier boundaries, or liability states, we will issue a mandatory notice at least fourteen (14) days prior to execution via email or in-app bulletin. Minor formatting fixes take effect immediately upon publication. Continued platform use represents full, binding acceptance of the updated Terms.
4. Account Lifecycle: Suspension, Termination, and Impact
4.1 Reasoned Discretion and Appeal Framework: The Company reserves the right, at its reasonable discretion and with prior written notice where operationally practicable, to suspend, limit, or terminate your platform access for material violations of these Terms, non-payment of active fees, or malicious interface behaviors. Suspended users may file a formal review appeal through our data operations desk at support@tubescope.app.
4.2 Data Handling Upon Account Closure: Upon account termination or erasure, your legal authorization to access the platform is revoked instantly. All analytical history records, cached reports, and watchlist tracking data associated with your unique account identifier will be systematically deleted or permanently anonymized within our database cleanup windows, subject to the retention schedules detailed in our Privacy Policy. The Company bears no liability for data loss resulting from lawful termination actions.
5. Structural Legal Provisions and Disclaimers
5.1 Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall [INSERT LEGAL COMPANY NAME] or its infrastructure partners be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data corruption, or YouTube channel visibility drops. The Company’s aggregate cumulative liability arising out of or related to this agreement shall not exceed the total financial amount actually paid by you to the Company for the specific Service tier during the twelve (12) months immediately preceding the event giving rise to the claim.
5.2 Indemnification: You agree to defend, indemnify, and hold harmless the Company, its directors, employees, and software infrastructure suppliers from and against any third-party claims, damages, losses, or compliance liabilities (including legal fees) arising out of or related to (a) your misuse of the Service, (b) your material violation of these Terms, or (c) your violation of third-party rights, including the YouTube Terms of Service or global copyright standards.
5.3 Governing Law and Jurisdiction: These Terms shall be governed by, construed, and enforced in accordance with the laws of [INSERT JURISDICTION], without regard to conflict of law principles. Any legal dispute, action, or proceeding arising under or relating to this Service shall be brought exclusively before the courts located in [INSERT CITY, COUNTRY]. For consumers residing within the European Union or the United Kingdom, mandatory local consumer protection statutes remain fully unaffected by this choice of venue.
5.4 Force Majeure: The Company is entirely insulated from liability for service performance delays or technical failures resulting from conditions outside its reasonable control. This includes structural upstream API deprecations or outages by the YouTube Data API ecosystem, extended operational failures of third-party LLM providers (e.g., OpenAI API drops), significant modifications to the Telegram core application layout, regional power grid collapses, or cyberwarfare interventions.
5.5 Corporate Assignment: You may not transfer or assign your account rights or contractual obligations under these Terms to any third-party individual or business entity without our explicit written consent. The Company maintains the unrestricted right to assign, delegate, or transfer its corporate assets, software IP, and structural legal responsibilities under this agreement without notification or consent restrictions.
5.6 Severability: If any single section or subsection of these Terms is deemed invalid, illegal, or unenforceable by an authorized court of law, that provision will be severed cleanly, and all remaining structural sections shall continue in complete, uncompromised force and effect.
5.7 No Waiver: The failure of the Company to enforce or insist upon the strict execution of any provision within these Terms shall not be interpreted or construed as a waiver of our right to enforce that provision, or any other provision, at any point in the future.
5.8 Legal Notices: All formal legal demands, notices, or compliance inquiries directed to the Company must be transmitted via certified mail to our registered physical headquarters or delivered digitally to our verified business email address: support@tubescope.app.
6. Intellectual Property Rights
6.1 Corporate Ownership: [INSERT LEGAL COMPANY NAME] retains exclusive ownership, title, and intellectual property rights over the entire TubeScope platform architecture, source code, data parsing pipelines, proprietary scoring formulas (including the compilation of Opportunity Scores and Monopoly Indexes), design layouts, and interface assets.
6.2 User Content License: Users retain ownership over any specific channel handles or content parameters they submit to the query input boxes. By entering data into the Service, you grant the Company a non-exclusive, global, royalty-free, transactional license to process, parse, and transmit that text asset to our infrastructure nodes and third-party API processors solely to fulfill your requested analytical computations.
7. Acceptable Use Policy
You agree that you will not use the Service to engage in any prohibited or malicious behavior. Forbidden actions include, but are not limited to:
- Deploying automated scripts, scrapers, bots, spiders, or unauthorized extraction tools to harvest data from the TubeScope dashboard or backend endpoints outside of standard authorized UI flows.
- Attempting to reverse engineer, decompile, mirror, extract, or reconstruct the underlying source code, data modeling weights, or algorithmic logic of the platform.
- Reselling, sublicensing, leasing, or commercializing access to TubeScope data reports or account privileges to unauthorized third parties.
- Utilizing platform querying metrics to systematically harass, dox, stalk, or target specific content creators.
- Fabricating inputs or manipulating API streams to intentionally induce system failure or exploit third-party LLM processing nodes.
